3. Develop a Licensing Knowledgebase

Over the years, your organization will develop certain approaches to its licensing transactions. It will identify its own key issues and learn from its mistakes. As discussed in the preceding section, some of that knowledge should be transferred to the licensing checklist your organization uses in evaluating new transactions.

Another important resource is the previous contracts your organization has negotiated. We suggest keeping copies of the original, unmodified version of each of your vendor agreements as well as the negotiated, final version. These copies should be stored in a readily accessible manner, preferably as part of an electronic document management system that permits easy retrieval when needed. This "knowledgebase" of prior agreements can prove invaluable when negotiating new agreements. For example, if you are considering a new transaction involving the license of content for your company's Web site, it will be useful to quickly review the other similar agreements your company has entered into. Apart from identifying potential key terms for this type of transaction, your review will also provide information about what this vendor's competitors are willing to accept in similar transactions. Your review may also disclose that your company has a master agreement with this particular vendor and that no new agreement is even needed. Licensees should not overlook this valuable resource for their transactions.
