Area: Identify Merger And Acquisition Candidates

Tasks here relate to specific investigation activities. Often, politics intervenes at the highest level and a merger or acquisition is pushed from the top. To deal with this, it is wise to include tasks that address the negative aspects of the combination. The milestones in this area are often fuzzy since they are just analysis results. However, what you can do is to develop checklists and question lists to evaluate the work.

Another problem is that the tasks are quite long. You want to know the status of the work during this period. Take the questions and checklists and start applying them before the end of the task to see if the work is proceeding on the right course.

Area: Carry Out Due Diligence And Investigations

This is often treated as financial work. However, it would be useful to take three common business processes that are important to both companies.

Investigate in detail these three processes in both organizations. Address the following areas:

  • General steps in the process;

  • Side-by-side comparison of a process in each company;

  • Culture fit of the processes;

  • Policy fit of the processes.

Area: Undertake Detailed Planning

In this area, you can expand the review of processes to include the top 10–15 key processes. You can also consider the local, in-country organizations. You can start to identify the new processes and the new or modified local organizations. These steps are done in parallel with the general organization work.

Another task is to develop detailed score cards for the key processes in each company. Why do you want to do this? Because you will want to compare the new, combined process with the scores of the processes in each country. A related idea is to conduct a survey of customers and suppliers.

Area: Perform The Consolidation

When here, you go. Many consolidations fail because they start at headquarters. It is better to stabilize and work with the remote and local offices. Get them set up and combined. Ensure that the processes are working. Now you can move to headquarters. If there is some redundancy at the headquarters units for a while, that is OK. At least, using this approach you ensure sales and service.

Area: Measure Results

Results are often measured by the savings gained per unit of time. After all, this is what looks good to the investment community. It is also a standard measure. There are also the measures of sales and profits. You can also compare the score cards of the processes before and after. Do the same comparison for the customer and supplier surveys.
