Conclusion


For the business executive, antitrust is a fact of life. For growing businesses, it may become an increasingly important element in their ongoing operations. Executives of such firms would be well advised to consult with their antitrust counsel early and often to take full advantage of the benefits antitrust law offers them and to avoid the serious repercussions that can result from their violation.

James J. Calder devotes his practice to antitrust and antitrust litigation.

Mr. Calders antitrust practice includes litigation, counseling and responding to Government antitrust investigations. He has handled matters involving pricefixing, market allocation, group boycotts and other horizontal restraints, monopolization , intellectual property licensing and other intellectual property issues, industry-wide standard setting efforts, vertical restraints, distribution issues and Robinson-Patman Act problems.

Mr. Calder also represents parties to U.S. and cross-border mergers and acquisitions. His M & A work includes substantive antitrust merger analysis, Hart-Scott-Rodino and foreign merger clearance compliance, responding to U.S. and foreign Government merger investigations and negotiating or litigating resolutions in contested merger situations. He also provides antitrust representation in the structuring and operation of domestic and international joint ventures and other collaborative efforts among competitors .

Mr. Calder's litigation practice includes antitrust, competitive tort, commercial and reinsurance cases and arbitrations. Mr. Calder also represents market makers on the NASDAQ in SEC and NASD enforcement matters.

A member of the Antitrust Section of the American Bar Association, Mr. Calder has served as Vice Chair of its Civil Practice & Procedure Committee. He was a member of the ABAs Antitrust Section Task Force that reviewed proposed legislation to repeal or modify the Supreme Courts decision in Illinois Brick Co. v. Illinois, as well as the Antitrust Section Task Force that drafted Sample Jury Instructions in Civil Antitrust Cases. Mr. Calder is also a member of the Antitrust and Trade Regulation Committee of the Association of the Bar of the City of New York.

Mr. Calder is a member of the New York Bar and is admitted to practice before the U.S. District Courts for the Southern and Eastern Districts of New York, the U.S. Courts of Appeals for the Second and Third Circuits and the U.S. Supreme Court. Mr. Calder received his undergraduate degree, with high distinction, from the University of Virginia (B.A., 1974), where he was a member of Phi Beta Kappa. He received his law degree from the University of Virginia Law School (J.D., 1977), where he was a Hardy Dillard fellow.
